Starting a Nonprofit Organization in My State:   New Mexico


STEP/TASK

  1. Name your nonprofit: This name must be unique to other registered organizations in New Mexico.

  1. identify an incorporator and a board of directors: There needs to be at least one incorporator who signs the articles of incorporation and your board of directors needs at least three people.

  1. Appoint a registered agent: The registered agent must be in New Mexico and will receive legal notices for the nonprofit.

  1. File your articles of incorporation: You will need to do this through the New Mexico Secretary of State. The fee

             to file a nonprofit articles of incorporation is $25.
  1. File an initial corporate report: You will file this with the New Mexico Office of the Secretary of State and you will need to do this within 30 days of the date on the Certificate of Incorporation. This report has address information, a statement of character of affairs, and a list of all the officers and directors. The fee to file the initial corporate report is $10.

  1. get an employer identification number from the irs

  1. Draft your organization’s bylaws and a conflict of interest policy: These bylaws must be signed by two authorized officers of the organization, it must be maintained at the organization’s principal office, and it is subject to inspection and copying by the public. 

  1. Conduct your first meeting with the board of directors: In this meeting, the organization will come together to approve the bylaws, adopt the conflict of interest policies, elect officers, and pick a financial institution to handle funding.

  1. Register to fundraise: You will need to contact the new mexico office of the attorney general to figure out if your organization is exempt from registration.

  1. get a new mexico state tax identification number with the new mexico taxation and revenue department

  1. Apply for a 501(c)(3) with the irs: You should take this step if your organization meets the eligibility requirements.

  1. apply for nontaxable transaction certificates: This will be done through the new mexico taxation and revenue department and may not be necessary.

  1. Make sure you have all required state or local business licenses and permits: This step may not be necessary for all organizations.

  1. If your organization has employees, you will need to register with the New Mexico Department of Workforce Solutions and the New Mexico Workers Compensation Administration
